What it can look like

An illustrative example. Your output will reflect your own sources, data, and prompts.

Review the Meridian Analytics SaaS subscription agreement: extract the key terms (payment, term, auto-renewal, termination rights, liability caps, indemnification) and flag any risky clauses, citing the exact section for each finding.

I've gone through the Meridian Analytics agreement clause by clause. The key terms are summarized below, along with three findings I'd raise before this goes to signature.

Review notes: Meridian Analytics agreement

This is a fairly standard SaaS subscription overall, but three provisions lean in Meridian's favor. Key terms first, findings after.

TermWhat the agreement says
Payment$84,000 per year, invoiced annually in advance, net 30 (Section 4.2)
Term24 months from October 1, 2026 (Section 3.1)
Auto-renewalSuccessive 12-month terms unless either party gives 60 days' notice; renewal at Meridian's then-current list price (Section 3.2)
TerminationMaterial breach with a 30-day cure period only, no termination for convenience (Section 9.1)
Liability cap12 months of fees paid, with carve-outs for confidentiality and data-protection breaches (Section 11.2)
IndemnificationWe indemnify Meridian for misuse claims, uncapped; their IP indemnity is subject to the liability cap (Sections 12.1–12.2)
  • No termination for convenience. Once signed, we are committed for the full 24 months even if usage drops to zero (Section 9.1). Ask for a convenience exit at month 12 with 60 days' notice.
  • Uncapped renewal pricing. Renewal at “then-current list price” allows an unlimited increase (Section 3.2). Propose capping renewal increases at 5% year over year.
  • One-sided indemnities. Our indemnity to Meridian is uncapped while theirs is limited by Section 11.2 (Sections 12.1–12.2). Push for mutual treatment under the same cap.

On a 1-to-10 risk scale, the two uncapped provisions rate highest: renewal pricing at 9 and the one-sided indemnities at 8. The missing convenience exit is a moderate 6, and the confidentiality, data-processing, and insurance sections sit low at 2.

ClauseRisk (1–10)
Renewal pricing9
Indemnities8
Termination6
Confidentiality2
Data processing2
Insurance2

The confidentiality, data-processing, and insurance sections track market standard for an agreement of this size. Nothing further to flag there.
